nDemand Consulting Services, Inc. is a Georgia corporation providing professional services in federal contracting strategy, AI automation and vibe coding, branding and creative, training and learning ecosystems, keynote speaking, and C3PI productized solutions. Our principal place of business is Atlanta, Georgia.

Use of the Site and Services

You may use our site and services for lawful purposes only. You agree not to:

• Use our services in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any portion of the site, other user accounts, or our systems.
• Interfere with or disrupt the site or services.
• Copy, modify, distribute, or reverse engineer any part of the site or services except as expressly permitted.

Assessments and Reports

Our site offers several assessments, including the Law Firm Growth Assessment, Practice Growth Assessment, Real Estate Growth Assessment, Deep Tech Commercialization Readiness Assessment, Pathway Assessment, and Federal Readiness Assessment. Assessments are provided as a service to help you evaluate readiness and identify opportunities for growth. Assessment results and recommendations are informational and do not constitute legal, financial, tax, or investment advice.

You are responsible for the accuracy of the information you provide. We rely on your responses to generate personalized reports and recommendations.

Communications and Marketing

By providing your email address or phone number, you consent to receive communications from nDemand related to your inquiry, your assessment, or your engagement with us. Ongoing marketing communications require your explicit opt-in. You may unsubscribe from email marketing at any time using the unsubscribe link. You may opt out of SMS marketing at any time by replying STOP.

Proposals, Engagements, and Payment

Proposals and quotes we provide are valid for 30 days unless otherwise stated. Formal engagements are governed by a separate Statement of Work or Master Services Agreement. Payment terms are specified in each engagement agreement. Unless otherwise agreed, invoices are due within 15 business days.

Intellectual Property

All content on our site, including text, graphics, logos, assessment methodologies, scoring frameworks, reports, and software, is the property of nDemand or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written permission.

Nothing in these Terms transfers ownership of any intellectual property to you. Limited use rights, if any, are described in your engagement agreement.

User-Submitted Content

You retain ownership of the information you submit to us through assessments, contact forms, or otherwise. By submitting content, you grant nDemand a limited, non-exclusive, royalty-free license to use that content to provide the services you requested, generate your report or proposal, and improve our services on an aggregated and anonymized basis.

You represent that any content you submit is accurate, is yours to submit, and does not infringe on any third-party rights.

Disclaimers

Our site and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the site will be uninterrupted, error-free, secure, or free of viruses. Assessment results, recommendations, and reports are estimates based on the information you provide and general industry patterns. Actual outcomes depend on many factors outside our control, including your execution.

Limitation of Liability

To the maximum extent permitted by law, nDemand and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the site or services, whether based on warranty, contract, tort, or any other legal theory.

In no event will nDemand's total liability to you for all claims arising out of or related to these Terms or your use of the site or services exceed the greater of the amount you paid to nDemand in the 12 months preceding the claim or one thousand U.S. dollars.

Indemnification

You agree to indemnify, defend, and hold harmless nDemand and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to your use of the site or services, your violation of these Terms, or your violation of any third-party rights.

Termination

We may suspend or terminate your access to the site or services at any time, without notice, for any reason, including your violation of these Terms. Upon termination, your right to use the site and services ends immediately. Sections of these Terms that by their nature should survive termination will do so.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or your use of the site or services will be resolved in the state or federal courts located in Fulton County, Georgia, and you consent to the exclusive jurisdiction of those courts.

Before filing any formal action, you agree to first contact us at legal@nDemandConsulting.com to attempt to resolve the dispute informally.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the Effective Date at the top of this page and, where appropriate, notify you by email or through a notice on our site. Continued use of the site or services after changes take effect constitutes your acceptance of the updated Terms.
